That PSU will be fine. They always overstate the power requirements, to make room for the idiots that buy shit from brands like Logisys.
AM3 socket is ddr3 only. PSU is fine, if you'll be doing SLI in the future with a diffferent board, you'll need more wattage. But you're past the requirements.

Power supply is never something to skimp on. Don't go with super cheap "high watt" ones.

To be frank, there is no great performance benefit with DDR3 over DDR2, at least on the AMD platform.
I suggest you get the DDR3 1066MHz RAM actually, it's cheaper and the performance wise is THE SAME* as DDR3 1333MHz.
*When I mean the same it is like 1-2 nanoseconds difference.
